1.Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, platform and services provided by Genenso Technologies Private Limited ("Genenso", "we", "us" or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2.Description of Service

Genenso provides an AI-powered platform for distribution and field sales operations, including distributor management, order management, mobile point-of-sale, targets and incentives, and demand forecasting. We may update, enhance or modify features from time to time to improve the Services.

3.User Accounts & Eligibility

You must provide accurate, current and complete information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be authorized to bind the organization you represent and be of legal age to enter into a contract.

4.Subscription, Billing & Payment Terms

Paid Services are billed according to the plan and billing cycle you select. Unless stated otherwise, fees are charged in advance and are non-refundable except as required by law. We may change pricing with reasonable prior notice, effective from your next billing cycle.

5.Acceptable Use Policy

You agree not to:

• Use the Services for any unlawful, fraudulent or harmful purpose.
• Interfere with, disrupt or attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer, copy or resell the Services except as expressly permitted.
• Upload malicious code or content that infringes the rights of others.
• Use the Services to send unsolicited or unauthorized communications.

6.Data Ownership & Customer Data

As between you and Genenso, you retain all rights to the data you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Services in accordance with our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for obtaining any necessary consents.

7.Intellectual Property Rights

The Services, including all software, designs, text, graphics and trademarks, are owned by or licensed to Genenso and are protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are transferred. You may not use our marks without prior written permission.

8.Service Availability & Support

We strive to keep the Services available and reliable and may offer support in accordance with your plan. Any specific availability commitments or service levels (SLA) will be set out in a separate agreement or order form. We may perform maintenance that temporarily limits availability.

9.Limitation of Liability

To the maximum extent permitted by law, Genenso shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Services shall not exceed the amounts paid by you for the Services in the twelve months preceding the claim.

10.Termination & Suspension

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or where necessary to protect the Services or comply with law. Upon termination, your right to use the Services ceases; certain provisions survive termination by their nature.

11.Governing Law & Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts located in Bhopal, Madhya Pradesh, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.

12.Changes to Terms

We may revise these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
